These Terms govern your use of the valuation.cl website and your purchase of licenses for our Microsoft Excel add-ins, FinExplorer and FinAudit (together, the “Software”). By using the website, starting the free trial or activating a license, you agree to them.

1. Who we are

valuation.cl is an independent software business based in Santiago, Chile (“we”, “us”). You can reach us at support@valuation.cl; we aim to reply within one business day.

We build and sell the Software ourselves. Both products are our own original work — nothing is resold, white-labelled or repackaged from anyone else.

2. What we sell — and what we do not

FinExplorer helps you navigate and understand financial and valuation models: trace precedents and dependents, break a nested formula into its arguments with live values, map a sheet by the role of each cell, compare two sheets, and see how a block of the model connects to the rest.

FinAudit reviews a workbook for hardcoded numbers buried inside formulas, ranks the findings by severity, flags formulas that break the pattern of their row or column, and writes a findings report.

We are a software vendor, not an advisory firm. We do not perform valuation, audit, accounting, consulting or advisory work for customers, and nothing we publish or supply is financial, investment, tax, accounting or legal advice. The Software is an analysis tool that assists a human reviewer. It does not certify that a model is correct, and it will not find every error. You remain responsible for your own work and conclusions.

3. Eligibility

You must be able to enter into a binding contract where you live. If you are buying for a company or other organisation, you confirm you have authority to accept these Terms on its behalf. We sell worldwide; the Software, its documentation and our support are in English.

4. Purchases: Lemon Squeezy is the merchant of record

All purchases are processed by Lemon Squeezy (sold by Link, LLC, 354 Oyster Point Blvd, South San Francisco, CA 94080, USA) acting as merchant of record. This means:

5. Pricing and taxes

Current prices are shown on our pricing page and are identical in the store. At the time of writing: FinExplorer and FinAudit are US$21 per user per year each, and the Bundle (both products) is US$35 per user per year.

All prices are in US dollars. We sell annual licenses only; there are no monthly plans. The fee includes product updates and email support for the 12-month term. Any tax that applies is calculated and shown at checkout by Lemon Squeezy.

We may change our prices, but a change never affects a term you have already paid for. It would apply from your next renewal, and we will tell you before that renewal is charged.

6. How you receive what you paid for

Delivery is immediate and automatic:

If the email does not arrive, check your spam folder and then contact us — we can always retrieve your key against your purchase email address.

7. Your license, in summary

The full terms are in the End User License Agreement, which governs on any licensing point where these Terms and the EULA differ. In short: a license is per named user, valid 12 months, and may be activated on a limited number of that user’s own devices (the seat limit is shown on your license). It may not be shared between different people. A Bundle key activates both add-ins. You are granted a right to use the Software; you do not acquire ownership of it.

8. Activation and offline use

A license key looks like VCL-XXXXX-XXXXX-XXXXX. Activation validates it against our server at api.valuation.cl over an encrypted connection. If our server is unreachable, the add-ins keep working offline for up to 7 days using the cached expiry date, so an outage or a flight does not stop your work.

To enforce the seat limit, activation sends only your license key, the product name and a device identifier. Nothing from your workbooks is ever sent — see the Privacy Policy.

We may revoke a key in cases of fraud, a chargeback, or sharing a single license between different people.

9. Free trial

The trial lasts 10 days with full functionality and no credit card. It starts automatically the first time you use either add-in and needs an internet connection to begin. It is tied to your device and recorded on our server, so it cannot be restarted by reinstalling.

When the trial ends, the ribbon buttons are disabled until you enter a key. Your workbooks are never modified or damaged by this — the trial ending affects only the add-in.

10. Renewal and cancellation

Licenses are sold as an auto-renewing annual subscription through Lemon Squeezy. Unless you cancel, the subscription renews for another 12 months and your payment method is charged.

You can cancel at any time, yourself, in the Lemon Squeezy customer portal — no email to us and no cancellation fee. You keep full access until the end of the period you have already paid for; the license then simply expires.

11. Refunds

Every purchase is covered by a 30-day money-back guarantee, including annual renewal charges. The details, and how to ask, are in our Refund Policy. When a refund is issued the associated key is revoked and the add-ins stop working, but your spreadsheets and their contents are entirely unaffected — they are your files and they stay on your computer.

12. Acceptable use

You agree not to: share, resell, sublicense, rent or redistribute the Software or your key; decompile or reverse-engineer it; remove, circumvent or tamper with the licensing mechanism; or use it to build a competing product. You also agree not to use the website to attempt to gain unauthorised access to our systems.

13. Intellectual property

The Software, the website and their content are our property or licensed to us, and are protected by copyright. These Terms grant you a right to use the Software, not any ownership of it. “Microsoft” and “Excel” are trademarks of Microsoft Corporation; we are not affiliated with, endorsed by or sponsored by Microsoft. Other product names used for comparison belong to their respective owners.

14. System requirements

Windows 10 or 11 with desktop Microsoft Excel (Microsoft 365, or Excel 2016, 2019, 2021 or 2024). The Software is not compatible with Excel for Mac or Excel on the web. Please confirm you meet these requirements before buying — the free trial exists precisely so you can check.

15. Disclaimers

The Software is provided “as is”. To the fullest extent permitted by law we disclaim all warranties not expressly stated here, including implied warranties of merchantability and fitness for a particular purpose. We do not warrant that the Software is free of defects, that it will run uninterrupted, or that it will identify every error, inconsistency or hardcoded value in a model.

Nothing in these Terms limits any right you have under mandatory consumer protection law in your country.

16. Limitation of liability

To the fullest extent permitted by law, our total liability arising out of or relating to the Software or these Terms is limited to the amount you paid us for the license in the 12 months before the event giving rise to the claim. We are not liable for indirect or consequential loss, loss of profit, loss of business, or loss or corruption of data.

This limit does not apply to liability that cannot be excluded by law, including fraud, or death or personal injury caused by negligence.

17. Support and product changes

Support is by email at support@valuation.cl, with a target response of one business day. Your license includes updates for its 12-month term. We may add, change or remove features as the products evolve. If we discontinue a product entirely, we will tell active license holders and refund the unused portion of the term on a pro-rata basis.

18. Termination

You may stop using the Software at any time and uninstall it. We may suspend or terminate a license if these Terms are seriously or repeatedly breached — for example, sharing one license among several people, or tampering with the licensing mechanism. Where the breach is not deliberate we will contact you first and give you a chance to put it right.

19. Changes to these Terms

We may update these Terms. The date at the top always shows the current version. If a change materially affects your rights, we will email active license holders at least 14 days before it takes effect. Continuing to use the Software after that means you accept the change. The same notice applies to changes in our Privacy Policy, Refund Policy and EULA.

20. Governing law

These Terms are governed by the laws of Chile, and the courts of Santiago, Chile have jurisdiction — without depriving you of the protection of mandatory laws, or the right to bring proceedings in the courts, of the country where you live. The payment transaction itself is additionally governed by Lemon Squeezy’s terms.
